This Agreement, made and entered into on the date May 13, 2024 by and between Reize, LLC, a company organized under the laws of United States of America, hereinafter referred to as "Dispatcher," and the undersigned  , hereinafter referred to as "Carrier."

1. Documents

Carrier agrees to furnish Dispatcher with the following documents with the implementation of this agreement,by uploading them using the form below:

• Copy of Carrier's Authority (MC Letter) (*Required)

• A signed W-9 form (*Required)

• Certificate of Insurance (*Required)

• Notice of Assignment from Factoring company (you can skip if you are not set up with a factoring company)

2. Dispatch Service Method

Dispatcher shall find loads that best matches Carrier's preference, and communicate such options with Carrier and/or it’s driver. Once Carrier agrees to accept the load, Dispatcher will send all necessary and required supporting documents to broker/shipper and will forward the load confirmation to the Carrier once received. Dispatcher agrees to assist Carrier with any load issues.

3. Compensation

Carrier will be compensated directly from brokers/shippers handling the load, or from a factoring company chosen by Carrier. Carrier shall pay Dispatcher a commission of 6% of the gross revenue from each load that is booked and dispatched by Dispatcher to Carrier, including the additional service of sending invoices to brokers upon successful delivery. Invoice payments must be settled within 4 days of receipt. In the event that the load is canceled by the broker/shipper for any reason, Carrier shall not pay any commission to Dispatcher.

4. Independent Contractor Status

The relationship between Carrier and Dispatcher shall, at all times, be that of an independent contractor. Dispatcher agrees to solicit, and offer freight transportation shipments for Carrier from and to such locations between service may be required, subject to the availability of suitable equipment. Dispatcher shall be the agent for Carrier for searching for loads, booking them, dispatching, handling all paperwork directly with the broker and/or shipper. Carrier shall be responsible for compliance with all federal, state, and local laws and regulations related to the operation of its business.

5. Insurance

Carrier shall maintain insurance coverage in compliance with all federal, state, and local laws and regulations, and shall provide Dispatcher with certificates of insurance upon request.

6. Compliance with Laws and Regulations

Carrier shall comply with all federal, state, and local laws and regulations related to the transportation of freight, including but not limited to, the Federal Motor Carrier Safety Regulations and the Hazardous Materials Regulations.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming and the state in which the services are performed.

8. Entire Agreement

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written.

9. Modifications

This Agreement may be amended or modified only by a written instrument executed by both parties.

10. Confidentiality

Both parties agree to keep all information related to this Agreement confidential and not to disclose it to any third party without the prior written consent of the other party.

11. Independent Investigation

Each party represents that it has had the opportunity to seek legal counsel and has read and understands the terms and conditions of this Agreement.
